1. Definitions
AI-Generated Content: Refers to all drafts, extracted text summaries, safety plans, training recommendations, structured templates, and any other automated suggestions produced by SopAI's algorithms or third-party AI models on the application.
Authorized Reviewer: Refers to the qualified human manager, operator, safety professional, or designated administrator who is licensed to review and sign off on documents drafted or processed by SopAI.
Customer Data: Refers to all raw information, employee names, records, scanned certifications, training logs, and standard operating documents uploaded to or collected by SopAI by the customer.
2. Scope of Service & No Advice
SopAI is strictly an AI drafting, administrative, and organizational support tool. SopAI does not provide, and shall not be construed as providing, engineering, legal, regulatory, occupational health & safety, compliance, operational, or medical advice.
3. AI Outputs are Draft Suggestions Only
All AI-Generated Content represents a preliminary, unverified "Draft Suggestion" and is provided on an "as-is" basis. There is an inherent risk of algorithmic hallucinations, incomplete summaries, data extraction errors, or outdated recommendations.
A mandatory, independent human review and physical sign-off by an Authorized Reviewer is required before any draft or extracted compliance document is adopted, published, or relied upon operationally.
4. Reviewer Responsibility
The Customer and their Authorized Reviewers assume sole, absolute, and non-delegable responsibility for:
- The technical accuracy and practical feasibility of all adopted content;
- Full regulatory compliance with municipal, provincial, federal, or state statutes; and
- Workplace safety, occupational health protocols, and operational safety outcomes.
5. Limitations of Liability
To the maximum extent permitted by law, SopAI, its parent company (Huang Automation Inc. o/a Dalrima Inc.), and its suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, but is not limited to:
- Operational downtime or disrupted enterprise workflows;
- Fines, citations, or stop-work orders issued by government safety authorities or occupational boards;
- Property loss, machinery damage, or physical asset degradation;
- Workplace injury, illness, or fatalities; and
- Data breaches, data loss, or system security breaches.
In all events, SopAI's total cumulative liability for any claim arising out of these terms shall be strictly capped at the subscription fees actually paid by the Customer to SopAI during the twelve (12) month period immediately preceding the event giving rise to liability.
6. Third-Party AI Infrastructure
SopAI utilizes third-party AI providers (including OpenAI and Anthropic) to run data extraction and safety draft processing. The Customer acknowledges that SopAI is subject to the technical availability, processing constraints, rate limits, and network errors of these external providers, and SopAI does not warrant continuous, error-free third-party system operation.
7. Customer Data Warranties & Indemnification
The Customer represents and warrants that it owns or has obtained all necessary consents, licenses, authorizations, and permissions to upload and process its Customer Data (including employee names, emails, and occupational certifications).
The Customer agrees to indemnify, defend, and hold harmless SopAI from and against any third-party claims, liabilities, or losses arising from the Customer's breach of data privacy obligations, or unauthorized sharing of employee records.
8. Governing Law & Jurisdiction
These Terms of Service and any related disputes shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles. The parties attorn exclusively to the courts of the Province of Ontario located in Toronto, Ontario.
